TERMS AND CONDITIONS OF SERVICE

1. PREAMBLE AND ACCEPTANCE
These Terms and Conditions (the “Terms“) constitute a legally binding agreement between Blocktopus Enterprise Ltd., a company incorporated under the laws of the British Virgin Islands, with its registered office at 2nd Floor O’Neal Marketing Associates Building, Wickham’s Cay II, Road Town, Tortola, British Virgin Islands, VG1110 (hereinafter referred to as the “Company“, “we“, “us“, or “our“), and you (the “User“, “you“, “Validator“, or “Delegator“).
These Terms govern your access to and use of: 1. The website located at https://mosaicchain.io/ and its subdomains, specifically, but not limited to the Mosaic Explorer (collectively, the “Site“); 2. The Mosaic Chain Mainnet blockchain network (the “Network“) insofar as it interacts with software provided by the Company; 3. Any associated software, including ValidatorOS, Indexer service, Chain service, Admin-backend service, documentation, and tools provided by the Company (collectively, the “Services“).
IMPORTANT NOTICE: BY ACCESSING THE SITE, RUNNING A VALIDATOR NODE, OR STAKING TOKENS ON THE NETWORK, YOU EXPRESSLY ACKNOWLEDGE AND ACCEPT THE RISKS DESCRIBED IN SECTION 7 (RISK DISCLOSURES), INCLUDING THE RISK OF FINANCIAL LOSS DUE TO “SLASHING” MECHANISMS AND MISSED REWARDS DUE TO CHILL.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE SITE AND DISCONTINUE ANY PARTICIPATION IN THE NETWORK.
2. DEFINITIONS
- “Mainnet” refers to the live production version of the Mosaic Chain blockchain.
- “MOS” refers to the native coin (utility token, hereinafter tokens) of the Mosaic Chain.
- “Validator” means a participant in the Network who operates a node to collate and send blocks to Polkadot Relay Chain to validate, utilizing NFT-based validator rights.
- “Delegator” means a holder of MOS tokens or Delegator NFTs who assigns their stake to a Validator to secure the Network.
- „Polkadot Relay Chain” refers to the central blockchain that connects and secures all Polkadot parachains, as Mosaic Chain.
- “Slashing” means the punitive mechanism inherent to the Network’s protocol whereby a portion of a Validator’s (and their Delegators’) staked tokens are destroyed (“burned”) due to unavailability, failure of tasks when selected, or other protocol violations.
- “Autochill” refers to the protocol mechanism that automatically exludes a Validator from the active set after repeated offenses to prevent further Slashing, resulting in a cessation of Rewards. Chilled validators need to be unchilled manually by the validator.
- “Explorer” refers to the block explorer interface provided by the Company to view public ledger data.
- „Validator Dashboard” refers to the interface provided by the Company where Validators can check their status and adjust their settings.
3. NATURE OF SERVICES
3.1. Interface data reliability
The Site and Explorer are provided strictly as informational interfaces. They display data derived from the decentralized public ledger. The explorer is served with data by the validators and thus as result the data may be outdated or misleading. The Company does not control the data on the blockchain and cannot reverse, modify, or restore transactions or data once confirmed on the Network.
3.2. No Custody
The Company is a software developer and interface provider. We do not have custody, possession, or control over your private keys, MOS tokens, or hardware. You are solely responsible for the management and security of your digital assets. Loosing your seed phrase of your wallet account may result in irrevocable loss of access to your assets.
3.3. Decentralized Protocol
You acknowledge that the Mosaic Chain is a decentralized network. While the Company may contribute code or run bootstrap nodes, the Company does not control the Network. Decisions regarding protocol upgrades, slash ratio, or parameter changes are governed by on-chain governance, not solely by the Company.
3.4. Polkadot Relay Chain Dependency
Our blockchain, Mosaic Chain operates as a Polkadot parachain and therefore depends on the functionality, stability, availability and governance of the Polkadot relay chain. As such, our services may be affected by any changes, upgrades, malfunctions, delays, vulnerabilities, or errors occurring within the Polkadot relay chain. We do not warrant the continued performance or availability of the Polkadot network and assume no liability for any direct or indirect loss, damage, or impact arising from relay chain events outside our control.
3.5. Support policy and updates
The Company endeavors to initiate the remediation of critical bugs in the software controlled by the Company within five (5) business days of their detection or verified reporting. To ensure Network stability, updates containing these fixes are generally deployed to the Network only after they have successfully operated without critical errors on the Testnet and Devnet environments. You acknowledge and agree that:
- This process is designed to prioritize security over speed;
- Bug fixes will foreseeably take several days or may be protracted over a longer period to ensure proper testing; and
- The timelines mentioned herein are estimates and do not constitute a binding Service Level Agreement (SLA) or a guarantee of immediate resolution.
4. VALIDATOR AND/OR DELEGATOR OBLIGATIONS
4.1. Technical Requirements (Strict Liability)
Validators are strictly responsible for maintaining hardware and network conditions that meet the requirements set forth in the documentation. You acknowledge that failure to meet these requirements may result in Slashing and loosing possible rewards. Specifically, you agree to adhere to the following minimums:
- RAM: Minimum 32 GB DDR4 is required. Using lower amounts (e.g., 5GB) is a violation of these Terms and a risk to your funds.
- Motherboard: GigaByte B760M H DDR4 or GigaByte B760M DS3H DDR4, or GigaByte B760M GAMING DDR4. The installation was tested and optimized for these motherboards.
- Storage: NVMe M.2 SSDs (2x1TB recommended).
- Connection: Wired connection only. WiFi is prohibited due to instability and latency risks. A stable minimum of 500-1000 Mbps (megabit/second) is recommended nominal bandwidth, but at least 30 Mbps guaranteed bandwidth per machine.
- Architecture: The use of Cloud Services (VPS) or shared hosting is prohibited to preserve decentralization. You must use dedicated physical hardware.
4.2. Operational Restrictions
To preserve decentralization and prevent resource conflict, you agree:
- One Validator per Physical Machine: You shall not run multiple validators on a single hardware unit.
- One Validator per Location: You shall not stack multiple validators on a single internet subscription/IP address.
- One Validator per Server Farm: You shall avoid hosting validators in concentrated data centres where an other validator already exists.
- Virtual machines are unsupported.
- No other software: It is forbidden to install and run other software than the ValidatorOS and its services on the validator machine.
The Company is not liable for performance degradation, latency issues, or Slashes resulting from “neighbor noise,” resource contention, or ping failures caused by violating these restrictions. Deviating from the above-mentioned requirements the validator must resolve the arising problems itself.
5. REWARDS, SLASHING AND ECONOMIC RISKS
THIS SECTION LIMITS YOUR RIGHTS AND OUR LIABILITY. READ CAREFULLY.
5.1. The “Slashing” Mechanism
You acknowledge that the Network utilizes a Proof-of-Stake consensus mechanism that includes Slashing.
- Validators: If your node does not respond when checked by the system once in a session or do not perform the proper activity when selected to the active validator subset, or engages in malicious activity (even unintentional), your staked MOS and NFTs may be slashed (reduced).
- Delegators: By delegating to a Validator, you acknowledge that you share the fate of that Validator. If the Validator is slashed, your delegated stake will also be slashed.
5.2. Liability Disclaimer for Slashing
Blocktopus Enterprise Ltd. shall NOT be liable for any loss of funds, loss of profit, or loss of stake resulting from Slashing, regardless of the cause. This exclusion of liability applies to Slashing caused by:
- User Error and misbehavior: Improper hardware configuration (insufficient RAM, unstable internet connection, or power outages, etc.) or violation of operational restrictions listed in 4.2.
- Software Bugs: Errors, bugs, or “glitches” in the ValidatorOS, the Substrate codebase, or the Mosaic Chain runtime.
- Network Conditions: Latency, P2P connectivity issues, or inability to sync with the Network.
- Unknown Causes: Instances where the technical cause of the slash cannot be immediately identified even with rational effort.
5.3. Rewards and Autochill
Block rewards are not deterministic. There might be differences in daily rewards as the selection to the active validator subset and the distribution of the rewards is balanced out over long term. Block rewards are not guaranteed. The Network may place a Validator into “chilled” status (autochill after repeated faults) to prevent excessive slashing or ensure the safety of the Network. While chilled, the Validator will not produce blocks and will not earn rewards. The Company is not liable for missed rewards (“Opportunity Cost”) while a Validator is chilled, syncing, or offline.
6. INTELLECTUAL PROPERTY AND LICENSE
6.1. Software License
The ValidatorOS and node software are based on Open-Source frameworks (Polkadot/Substrate). While the core code is open source, specific proprietary elements of the Site, the Explorer interface, and the Company’s branding/trademarks (“Mosaic Chain”, members of the “Mosaic Galaxy” brand group) remain the exclusive property of the Company.
6.2. Feedback
If you provide feedback or bug reports regarding the software, you grant the Company a perpetual, irrevocable license to use such feedback for any purpose without compensation to you.
7. RISK DISCLOSURES AND ASSUMPTION OF RISK
By using the Services, you represent that you understand the inherent risks of blockchain technology, including but not limited to:
- Regulatory Uncertainty: Blockchain technology could be impacted by regulatory actions in the BVI or other jurisdictions.
- Technical Failure: The software is experimental. Millions of lines of code are involved, and bugs are inevitable.
- Volatility: The value of MOS tokens can fluctuate drastically.
- Irreversibility: Transactions on the Mosaic Chain cannot be undone.
You assume all risks associated with using the Network, running a Validator node, and delegating tokens.
8. DISCLAIMER OF WARRANTIES (“AS IS”)
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, THE SERVICES, THE VALIDATOR SOFTWARE, AND THE NETWORK DATA ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME, AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, BUG-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU DOWNLOAD AND USE THE SOFTWARE AT YOUR OWN DISCRETION AND RISK.
9. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, BLOCKTOPUS ENTERPRISE LTD. (INCLUDING ITS DIRECTORS, OFFICERS, EMPLOYEES, SUBCONTRACTORS AND AGENTS) SHALL NOT BE LIABLE FOR:
- ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, OR DATA;
- LOSS OF FUNDS DUE TO SLASHING, HACKING, OR PRIVATE KEY LOSS;
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
NO COMPENSATION SHALL BE PAID EXCEPT IN CASE OF WILLFUL MISCONDUCT OF THE COMPANY. IN NO EVENT SHALL THE TOTAL LIABILITY OF THE COMPANY EXCEED THE AMOUNT OF FEES PAID BY YOU TO THE COMPANY (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF NO FEES WERE PAID, THE COMPANY’S LIABILITY SHALL BE LIMITED TO USD $100.00.
10. GOVERNING LAW AND DISPUTE RESOLUTION
10.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands (BVI), without regard to its conflict of law principles.
10.2. Exclusive Jurisdiction
Any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or the Network shall be settled exclusively by the courts located in Tortola, British Virgin Islands. You hereby waive any objection to this venue based on forum non conveniens.
11. MISCELLANEOUS
11.1. Modifications
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on the Site. Continued use of the Services after changes constitutes acceptance.
11.2. Severability
If any provision of these Terms is found to be unenforceable under BVI law, the remaining provisions shall remain in full force and effect.
